Terms of Service

Welcome to MortgageNegotiator.ai. These Terms of Service ("Terms") govern your access to and use of the website at mortgagenegotiator.ai and our auction platform services (the "Services"), operated by Mortgage Negotiator LLC ("MortgageNegotiator," "we," "us," or "our").

By using the Services, you agree to these Terms. If you do not agree, do not use the Services.


1. What We Are and What We Are Not

MortgageNegotiator is a technology marketplace platform. We connect:

  • Buyers: Individuals seeking a residential mortgage
  • Brokers: Licensed mortgage brokers and loan officers who bid on Buyers' loan profiles
  • Realtors: Real estate agents who may refer Buyers to the platform

We are not: - A lender, mortgage broker, or mortgage originator - A licensed real estate agent or broker - A financial advisor, attorney, or accountant - A party to any loan agreement that results from a successful auction

We do not originate loans, set interest rates, set fees, or guarantee any specific outcome. The terms of any mortgage loan are determined solely between the Buyer and the Broker the Buyer selects.


2. Eligibility

To use the Services, you must: - Be at least 18 years old - Be a U.S. resident (currently, loan auctions are available only to Florida residents) - Have the legal capacity to enter into a binding contract - Provide accurate, current, and complete information - Not be barred from using the Services under applicable law

Brokers must additionally: - Hold an active, valid Florida mortgage broker or loan officer license - Maintain an active NMLS registration in good standing - Comply with all applicable federal and state lending laws

Realtors must hold an active Florida real estate license.


3. Account Registration and Security

You agree to: - Provide accurate registration information - Maintain the confidentiality of your password - Notify us immediately of unauthorized account access - Be responsible for all activity under your account

We may suspend or terminate accounts for any violation of these Terms, fraud, sabotage, or other conduct that harms the platform or its users.


4. The Auction Process

How Auctions Work

  1. Buyer submits a loan profile with verified information about the desired loan (amount, type, credit range, property, location).
  2. Brokers see the anonymized profile if it matches their lending criteria. Buyers' identities remain anonymous to Brokers during the auction.
  3. Brokers submit blind bids — they cannot see other Brokers' bids — including proposed interest rate and all associated fees.
  4. Buyer reviews all bids side-by-side after the auction closes.
  5. Buyer accepts a winning bid or walks away. If the Buyer accepts a bid, the selected Broker receives the Buyer's contact information and the relationship transitions off the platform.

What We Do Not Guarantee

We do not guarantee: - That any Brokers will bid on any particular Buyer's profile - That bids will offer favorable terms or beat other available offers - That a loan will be approved, funded, or closed - The accuracy or completeness of any Broker's bid (Brokers are independently licensed and responsible for their own representations)

Loan Process After Acceptance

Once a Buyer accepts a Broker's bid: - The Broker assumes responsibility for the loan application, processing, underwriting, and closing - The relationship is governed by an agreement directly between the Buyer and the Broker - We are not party to that loan agreement - We do not control the timing, terms, or outcome of the resulting mortgage transaction


5. Fees, Payment, and Refunds

Buyer Fees

  • $49 starting fee to initiate an auction
  • $451 acceptance fee charged only when the Buyer accepts a winning bid
  • Total: $500 only if you accept a winning bid

Refund Policy

You receive a full refund of all fees paid to MortgageNegotiator if: - You complete your auction and do not accept any bid, for any reason - No Brokers submit bids on your loan profile - We are unable to deliver the Services as described

Refunds are processed automatically within 5 business days after the auction closes or the qualifying event occurs.

Fees are non-refundable if: - You accept a winning bid (you have received the Service for which the $451 acceptance fee is charged) - Your account is terminated for fraud, sabotage, or material violation of these Terms - The Broker you accepted closes the loan (the auction-result service has been delivered)

Broker and Realtor Fees

Brokers and Realtors pay no fees to use the Services. Brokers receive their standard compensation from the loans they close, paid by the lender or by the Buyer in accordance with the Broker's separate agreement with the Buyer.

Payment Method

Buyer fees are charged to the payment method on file at the time of auction start ($49) and at the time of bid acceptance ($451). You authorize us to charge your payment method for these fees.


6. Conduct on the Platform

You agree NOT to:

  • Submit false, misleading, or fraudulent loan profiles
  • Impersonate any person or entity
  • Use the Services to harvest data about other users
  • Reverse-engineer, scrape, or copy the platform's content or technology
  • Use the platform to send unsolicited communications to other users
  • Interfere with the operation of the Services or other users' use of it
  • Use the platform to manipulate or sabotage Broker bidding (including submitting fake auctions, encouraging Brokers to collude, or submitting profiles you do not intend to act on)
  • Violate any applicable law or regulation
  • Bypass or attempt to bypass any security or access controls

We reserve the right to investigate suspected violations and take any action we deem appropriate, including account suspension or termination without refund.


7. Broker-Specific Terms

By participating as a Broker, you additionally agree:

  • To maintain all required licenses, registrations, and compliance with applicable lending laws
  • To honor any bid you submit as a binding offer for the duration of the auction
  • To complete loan applications for Buyers whose auctions you win, subject to standard underwriting
  • To not contact a Buyer whose bid you did not win
  • That we may terminate your participation for unethical conduct, repeated bid abandonment, customer complaints, or license issues
  • That we may publish aggregate performance statistics, including your win rate and Buyer reviews

8. Realtor-Specific Terms

By participating as a Realtor, you additionally agree:

  • You receive no compensation from MortgageNegotiator for referrals
  • You will not represent that referrals create any compensation arrangement
  • You comply with RESPA, your state's real estate laws, and your brokerage's policies regarding referrals
  • You will use any co-branded materials only in compliance with applicable advertising rules

9. Intellectual Property

All content on the Services — including the platform technology, branding, logos, designs, text, and software — is owned by MortgageNegotiator or its licensors and protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use the Services for their intended purpose. You may not copy, modify, distribute, or create derivative works without our written permission.


10. User-Submitted Content

You retain ownership of information you submit. By submitting information, you grant MortgageNegotiator a worldwide, non-exclusive, royalty-free license to use, store, display, reproduce, modify, and distribute that information solely for purposes of operating and improving the Services.

You represent and warrant that you have the right to submit any information you provide and that doing so does not violate any third party's rights.


11. Third-Party Services and Links

The Services may include links to or integrations with third-party websites and services (credit bureaus, payment processors, NMLS, etc.). We are not responsible for the content, accuracy, or practices of those third parties. Your interactions with them are governed by their own terms and privacy policies.


12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

WE DO NOT WARRANT: - The accuracy of Broker representations or bids - That a loan will be approved or funded - That any particular savings will be achieved - That the Services will meet your specific requirements

You are solely responsible for evaluating any Broker, bid, or loan offer before entering into a loan agreement.


13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $500

Some states do not allow limitations of liability, so portions of this section may not apply to you.


14. Indemnification

You agree to indemnify and hold harmless MortgageNegotiator, its officers, directors, employees, and agents from any claims, damages, or expenses arising from: - Your use of the Services - Your violation of these Terms - Your violation of any law or third-party right - Information you submit to the Services - Loans you accept or originate through the platform (for Brokers)


15. Dispute Resolution

Informal Resolution

Before filing any formal claim, you agree to contact us at legal@mortgagenegotiator.ai and attempt to resolve the dispute informally for at least 30 days.

Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Palm Beach County, Florida before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the Award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction. You and Mortgage Negotiator LLC agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles.

Venue

Any disputes not subject to arbitration must be filed in state or federal court in Palm Beach County, Florida.


16. Termination

You may terminate your account at any time by contacting support@mortgagenegotiator.ai.

We may suspend or terminate your account, at our sole discretion, for: - Violation of these Terms - Fraudulent or abusive behavior - Non-payment of fees - Legal or regulatory requirements - Inactivity for an extended period

Upon termination, your right to use the Services ends immediately. Provisions of these Terms that by their nature should survive termination (intellectual property, disclaimers, limitations of liability, dispute resolution) will survive.


17. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by email and post the updated Terms on the website at least 30 days before they take effect. Your continued use of the Services after changes take effect constitutes acceptance.


18. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy and any additional agreements you sign with us, constitute the entire agreement between you and MortgageNegotiator regarding the Services.
  • No Waiver: Our failure to enforce any provision is not a waiver of our right to enforce it later.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Assignment: You may not assign these Terms without our consent. We may assign them freely.
  • No Agency: No partnership, joint venture, or agency relationship is created between you and MortgageNegotiator.
